In April 2025, the board of directors at Gensol Engineering Ltd. (Gensol), an Indian clean-energy company, faced some significant corporate-governance challenges. After the diversion of ₹2.62 billion by the company’s promoters led to legal action by the Securities Exchange Board of India (SEBI); a substantial fall in the share price; and the suspension of business operations at BluSmart Mobility Private Ltd. (BluSmart), a related entity run by the same promoters, Gensol’s board had to determine whether it should retain the founding promoters while attempting to reform its governance structure or replace them with an independent professional management team.
