Learning Objectives

The case is apt for a course on Corporate Governance or a module on corporate governance in a course on Strategic Leadership. The case is useful for a discussion on the role of executive leadership (chief executive officer) in the management of a corporation. The case is also ideal for understanding the nature of corporate governance issues that may exist with a dominant or controlling shareholder and with alternative ownership structures that are common in emerging markets. It also situates the role of mechanisms such as disclosures and fairness in managing such governance issues.
