Seth, the founder Chairman of NTL is upset after a bank wrote to him demanding payment of the loss incurred by NTL on a derivative product that NTL had bought from the bank. Seth has no knowledge of the rest of the hedge book and is unaware of the seriousness of the problem. One of his banker friends has suggested that he should hire a more professional CFO to replace the current CFO, Rao. From Seth’s point of view, the case presents interesting issues of risk governance and risk management policies.
Rao is immersed in firefighting, figuring out the gravity of the problem and managing the liquidity needs of NTL. Thomas is the only person who understands the derivative book in its entirety, but is obviously not keen to let his superiors know how big the problem really is.

Learning Objectives
When used in a risk management course, the case highlights issues in management of economic exposure, natural hedges, passive and active management of hedges, speculative transactions and running the treasury as a profit centre. It also brings out the importance of a well-defined risk management policy, and of adequate internal controls in the corporate treasury.
When used in a structured products course, the case brings out the tail risks of structured products arising from their twin asymmetries: (a) much higher probability of gain than of loss, and (b) much higher magnitude of loss as compared to magnitude of gain. It also illustrates the risk of regime shifts in markets: products that consistently made profits in one regime can produce large losses in a different regime. It also provides opportunities for valuing a real life structured product under alternative assumptions.
